Terms of Service

These terms are provided as a starting framework. We recommend having them reviewed by qualified legal counsel before relying on them.

1. Acceptance of Terms

By accessing or using TariffTrail (the “Service”), operated by [Company Name] (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the Service, including visitors, free-tier users, and paid subscribers.

2. Description of Service

TariffTrail is a tariff compliance information platform designed for Canadian importers. The Service provides tariff classification lookup, surtax determination, duty calculation, portfolio monitoring, and document preparation tools.

TariffTrail is not a customs brokerage and does not hold a licence under the Customs Brokers Licensing Regulations (SOR/86-1079). The Service does not submit, file, or transact any customs business with the Canada Border Services Agency (CBSA) or the CBSA Assessment and Revenue Management system (CARM) on your behalf.

3. No Agency Relationship

TariffTrail does not act as your agent, customs broker, or legal advisor. No agency, fiduciary, joint venture, or employment relationship is created between you and [Company Name] by your use of the Service.

You remain solely responsible for all customs filings, declarations, and submissions to CBSA. Any documents generated by TariffTrail — including BSF987 pre-fills, certification of origin templates, and classification summaries — are drafts for your review. You or your licensed customs broker must verify and submit them.

4. Informational Purposes Only

All tariff classifications, duty calculations, surtax determinations, and compliance assessments provided by the Service are for informational purposes only. They do not constitute legal, tax, or customs brokerage advice.

You should consult with a licensed customs broker or qualified trade lawyer for definitive guidance on tariff classification, duty liability, or compliance obligations.

TariffTrail makes reasonable efforts to keep tariff and surtax data current based on official Government of Canada publications, but does not guarantee the completeness, accuracy, or timeliness of any data or calculations.

5. User Responsibilities

As a user, you agree to:

  • Maintain accurate product and import data in your portfolio.
  • Verify all tariff classifications against CBSA's official Customs Tariff before relying on them for any filing.
  • Review all generated documents before use in any customs filing or submission.
  • Maintain your own CARM account and customs broker relationship as required by applicable regulations.
  • Comply with all applicable federal and provincial import regulations.
  • Not use the Service for any unlawful purpose.

6. Accounts and Organizations

You may create one account per person. Each account is associated with one organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must provide accurate and complete information during registration and keep your account information up to date. We reserve the right to suspend or terminate accounts that contain false or misleading information.

7. Subscription and Payment

TariffTrail offers a free tier with a limited product count. Paid tiers are available on a subscription basis, billed monthly or annually. All prices are in Canadian dollars (CAD) and are subject to applicable taxes (GST/HST).

Payments are processed by Stripe, a PCI DSS Level 1 compliant payment processor. We do not store your credit card information on our servers.

TariffTrail does not charge per-transaction or per-filing fees. All pricing is subscription-based.

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features through the end of your current billing period. Refunds for annual plans are provided at our discretion.

8. Audit Trail

Calculation results and compliance determinations generated by the Service are stored in an immutable audit trail. Audit trail records cannot be deleted or modified. Corrections are made by creating new superseding records that reference the original entry.

This immutability is by design to support CBSA compliance requirements. Audit trail data is retained for a minimum of seven (7) years from the date of creation.

9. Data Ownership

You retain ownership of all data you input into the Service, including product information, import values, supplier details, and related business data.

[Company Name] retains ownership of the Service, its algorithms, and all reference data including tariff schedules and the surtax registry.

By using the Service, you grant [Company Name] a limited, non-exclusive licence to process your data solely for the purpose of providing the Service to you. We will not sell, share, or use your data for purposes other than providing the Service, except as required by law.

10. Data Residency

All customer data is stored and processed in Canada. Our infrastructure is hosted in the ca-central-1 region with servers located in Montreal, Quebec. We will not transfer or store your data outside of Canada without your explicit written consent.

11. Limitation of Liability

The Service is provided “as is” and “as available” without warranty of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

[Company Name] is not liable for any penalties, duties, fines, interest, or losses arising from your reliance on the Service's output, including but not limited to penalties imposed under the Administrative Monetary Penalty System (AMPS), duty reassessments, or any other action by CBSA.

To the maximum extent permitted by law, [Company Name]'s total aggregate liability for all claims arising out of or related to the Service is limited to the total amount you paid for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event will [Company Name] be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

12. Indemnification

You agree to indemnify, defend, and hold harmless [Company Name], its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your customs filings or submissions to CBSA, or your violation of these Terms.

13. Termination

We may suspend or terminate your account and access to the Service at any time if you violate these Terms or engage in conduct that we reasonably determine to be harmful to the Service or other users.

You may request account deletion at any time by contacting us. Upon termination or deletion, your data will be removed within thirty (30) days, except for audit trail records, which are retained for a minimum of seven (7) years as described in Section 8.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts of competent jurisdiction located in British Columbia, Canada. You irrevocably submit to the jurisdiction of those courts.

15. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at the address associated with your account at least thirty (30) days before the changes take effect. The updated effective date will be posted at the top of this page.

Your continued use of the Service after receiving notification of changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
